Terms of service for PerQ digital loyalty cards

These Terms and Conditions ("Terms") govern your use of PerQ ("Service") provided by Retail Geek Ltd ("we," "us," or "our"). By subscribing to PerQ, you agree to be bound by these Terms.

PerQ is priced at a flat monthly fee of £12 per month.

We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing cycle. If you do not accept the new pricing, you may cancel your subscription before the next billing date.

SMS credits can be purchased in addition to your monthly subscription and are used to send marketing messages to customers who have opted in. Credits are non-refundable under any circumstances, including cancellation of your subscription. Credits have no expiry date and remain available for use as long as your account is active.

8. Intellectual Property

8.1 Our IP Rights

All intellectual property rights in PerQ, the dashboard, scanner app, and technology belong to Retail Geek Ltd. You receive a limited licence to use the Service in accordance with these Terms.

8.2 Your IP Rights

You retain all intellectual property rights in your business name, logo, and branding. By using PerQ, you grant us a licence to use your content solely for providing the Service to you.

8.3 Customer Wallet Passes

The wallet passes created for your customers are branded with your business name and logo. We do not display Retail Geek branding on customer-facing wallet passes.

9. Apple Wallet and Google Wallet

9.1 Third-Party Platforms

PerQ creates loyalty cards for Apple Wallet and Google Wallet. These are third-party platforms subject to their own terms and policies. We are not responsible for changes to Apple or Google wallet functionality, customers' inability to add passes due to device or platform issues, or platform-specific restrictions.

9.2 Pass Updates

Customer wallet passes automatically update when stamps are added, rewards are claimed, or you update your branding. Updates may take a few minutes to appear depending on the customer's internet connection.

10. Service Availability and Support

10.1 Service Uptime

We strive to maintain high service availability but cannot guarantee uninterrupted access. We are not liable for temporary unavailability due to scheduled maintenance, system updates, or circumstances beyond our control.

11. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and UK GDPR. Retail Geek Ltd is the data controller for both retailer account data and end customer data collected through the PerQ sign-up flow.

End customers can view their rights and how their data is handled in our Customer Privacy Notice.

Nothing in these Terms excludes our liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your breach of these Terms, your violation of any law or third-party rights, content you provide through the Service, or misuse of customer data accessed through the PerQ dashboard.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email at least 30 days before the changes take effect. Continued use of PerQ after changes become effective constitutes acceptance of the new Terms.

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage you to contact us first to resolve any issues informally before pursuing legal action.

These Terms, together with our Privacy Policy, Customer Privacy Notice, Customer Terms of Use, and Cookie Policy, constitute the entire agreement between you and Retail Geek Ltd regarding PerQ.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

17.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to any successor or affiliate.
